Rules and Constitution of the Guangdong Human Resource Management Association

 

Chapter 1 General Provisions

  Article 1 Name The name of this organization shall be the Guangdong Human Resource Management Asso-ciation, hereinafter referred to as “ the Association ” .

  Article 2 The Association is a non-profit professional organization and voluntarily formed by human re-source research and development organizations of enterprises, institutions of higher education and government, and human resource service organizations or individuals who have or intend to engage in the fields of human re-source management, teaching, scientific research. The Association has independent status of a legal entity.

  Article 3 The tenet of the Association Observe Constitution,laws and regulations and policies of PRC, fol-low the guidance of Marxism-Leninism , Mao Zedong Thought , Deng Xiaoping Theory and the important princi-ple of the “ Three Represents ” put forward by former President Jiang Zemin, provide advanced HRM theories/concepts, Strategies, and the best HR practices, bridge the exchange, communication, advancement between HR professionals and enterprises, consulting organizations, institutions of higher education and government, devote to furthering enterprises'HR progress, promote enterprises' Human Resource Management(HRM) improvement, protect its members lawful rights and interests in accordance with the law, and provide service for the govern-ment's HR policies formulation.

  Article 4 The Association is under the direction ,supervision and management of Department of Labor and Social Security of Guangdong Province (hereinafter“DLSSGP”) and Department of Civil Affairs of Guangdong Province hereinafter “ DCAGP ”) .

  Article 5 The location of the Association is Guangzhou

Chapter 2

  Article 6 Business Scope of the Association :

  (1)To establish a communication, exchange and advancement platform between enterprises, consulting orga-nizations, institutions of higher education and government; hold HRM forum, salon, activity , promote national and international exchange, edit&publish the Association journals and operate its website.

  (2)introduce To import and promote advanced HRM concepts,strategies and management tools;fully utilize international advanced management patterns ,provide for domestic enterprises the consulting service which shares the global latest HRM manage idea also suits China's actual situation; organize the appraisal and election of HR managers , Employer Branding, Management Achievements and HRM treatises; sponsor specific HRM Pro-jects' investigation and survey.

  (3)To creat resource platform and route to facilitate information interflow, resource sharing, and effective mutual business supplement among the Association's members.

  (4)To provide HR vocational skills testing and qualification, policy and law consulting, project advising and designing,HR exchange, business agent service and human source dispatching service,etc.

  (5)To direct and coordinate HR associations in Guangdong province and coordinate Guangdong HR consult-ing service organizations' business practice, facilitate the establishment of business and service standards, thereof, provide service for government's HR policies formulation.

  (6)To absorb new Individual and Corporate members, protect its members lawful rights and interests in ac-cordance with the law.

  (7)To complete works assigned by the competent department and Association Registry Regulatory Authori-ties.

CHAPTER 3 Membership

  Article 7 Members of the Association are in two categories: Corporate Member and Individual Member.

  Article 8 For Any applicant desirous of being admitted as a corporate member of the Association, the whole of the following prerequisites shall be satisfied :

  (1)To endorse the Association's Rules and Constitution;

  (2)To be willing to join the Association and go through admission procedure;

  (3)To have needs of HRM and enjoy influence effectiveness in the industry;

  Article 9 For Any applicant desirous of being admitted as an individual member of the Association, the whole of the following prerequisites shall be satisfied :

  (1)To agree with the Association's Rules and Constitution;

  (2)To be willing to join the Association and go through admission procedure;

  (3)Certificate-holders of National Vocational Qualification on enterprise human resource management enjoy preferential admission.

  Article 10 Each Labour and Social Security Executive Department and its direct affiliated service organiza-tions in Guangdong province will automatically be the official Corporate Member of the Association.

  Article 11 Procedures of Application for Membership are as follows:

  (1)Applicant shall submit application in writing for membership;

  (2)The Association shall verify and approve the application;

  (3)Council member shall be recommended by the Secretariat of the Association ,then approved by the Coun-cil;

  (4)Dues shall be paid to the Association in accordance with regulations;

  (5)The Secretariat of the Association issues membership credential .

  Article 12 Members of the Association shall enjoy the undermentioned privileges:

  (1)Right to elect, to be elected and to vote;

  (2)To join the activities of the Association's;

  (3)To criticize and to supervise the Association's service;

   (4)To receive preferential rights and special offer to the Association's service ;

  (5)Right to join the Association of one's own accord and to withdraw from the Association.

  Article 13 Members shall have the following duties:

  (1)To implement the Association's resolutions;

  (2)To defend the Association's lawful rights and interests

  (3)To accept and complete the Associations assignments;

  (4)To actively participate in the activities organized by the Association ,report true conditions or circum-stances, provide materials concerned and propose activity suggestion.

(5)To pay dues in accordance with the Association's regulation.

Article 14 Any member who wishes to resign from membership shall do so by informing the Association in writing and return the Membership Credential.

Article 15 Any member who without any excuse doesn't participate in the Association's activities in two consecutive years and pay due fees in accordance with the Association's regulation shall be automatically termi-nated of its membership; the membership of any Individual member who is deprived of his or her political rights shall be thereof cancelled.

The Association may expel a member from the Association upon the decision to expel the member by Secre-tariat , on the grounds that when the member's conducts seriously violate the Constitution of the Association.

  Chapter 4 Organization and Election

  Article 16 The Supreme authority of the Association shall be vested in the General Meeting of the members, ie the Council. The Council shall have the following powers:

  (1)To formulate and revise or amend the rules and constitution of the Association;

  (2)To elect and remove the Council members

  (3)To formulate and to decide on the guiding principles of the Association and the work to be undertaken by the Organization;

  (4)To examine and approve the Association's work report;

  (5)To elect and remove the President ,Vice Presidents and Secretary General;

  (6)To resolve the invitation of honorary presidents and advisers;

  (7)To decide the termination of the Association.

  (8)To decide other vital matters concerned.

  Article 17 The Council of the Association shall consist of President,Vice Presidents,Secretary General, Council Members. The quorum of a Council meeting shall exceed two-thirds (2/3) of the total membership and the resolutions of the Council shall be taken by the two-thirds(2/3) majority of the votes of the Council mem-bers present.

  Article 18 The term of the Council is four years. A Council meeting of the Association shall be held at least once a year. In special case , a Council meeting of the Association may be convened at any time when it's deemed necessary. When the term of the Council need to be moved up or extended ,it shall be first voted through by the Council , and then examined by the competent department and approved by the Registrar of So-cieties. The term extension shall not be over one year.

  Article 19 While the General Meeting stands adjourned, the Secretariat shall be the executive boy of the Association and the affairs of the Association shall be managed/executed by the Secretary General.

  Article 20 The Secretariat shall have following powers:

  (1)To carry out the resolutions of the General Meeting ;

  (2)To arrange the procedure in convening the annual General Meeting of members ;

  (3)To direct and supervise the working of the Association ;

  (4)To present the annual reports and the yearly accounts of the Association to the General Meeting ;

  (5)To decide on the admission and the dismissal of the members ;

  (6)To recommend members to be admitted to the Council ;

  (7)To decide on the establishment of working unit,branch and business entity of the Association ;

  (8)To frame the rules and regulations of the Association.

  Article 21 The Prerequisites of being as the President ,Vice President or General Secretary shall be as fol-lows:

  (1) To adhere to the Communist Party's lines and policies and have good political qualities;

  (2) To be under seventy-year-old in general;

  (3) To be good in health and be able to carry on the normal work.

  (4) To be with no penal sanction of being deprived of his or her political rights;

  (5) To possess full civil capacity.

  Article 22 Either the President ,Vice President or Secretary General , whose age over the age-ceiling provi-sions aforesaid ,shall not take on the office until the appointment is voted through by the Council and then report-ed to the competent department for examination and finally approved by the Registrar of Societies.

  Article 23 The either term of the President, Vice President or the Secretary General shall not be over two(2)terms.Any term extension of them ,in special case, shall be voted through by the two-thirds (2/3) of the majority of the Council members and then reported to the competent Department for examination and approved by the Registrar of Societies.

  Article 24 The Secretary General of the Association shall be the official representative of the Association and He or She shall not be the official representative of the other Associations.

  Article 25 When the office of the President , Vice President , Secretary General or Council Member need to be adjusted or removed under special circumstances, the notice of it shall be sent to the two-thirds(2/3)of the Council members by post and any office alteration abovesaid shall be voted through by the two-thirds(2/3)of the Council members to whom the notice has been dispatched. If no reply in writing has been given by the member to whom the notice has been dispatched within the stipulated period shall be deemed its approval of it.

  Article 26 The Duties of the President of the Association shall be as follows:

  (1)To direct the working of the Association;

  (2)To convene and chair the Council;

  (3)To inspect the work implemented by the Council and the Secretary General;

  (4)To sign major documents concerned on behalf of the Association.

  Article 27 The Duties and Obligations of the Secretary General of the Association include:

  (1)To direct the working of the Secretariat and arrange the formulation and implementation of the annual work plan.

  (2)To coordinate the work of every branch, representative office and business entity;

  (3)To nominate the Assistant Secretary General and the Chiefs of each working unit , branch, and business entity of the Association;

  (4)To decide on the employment of the full-time staff of the working unit , branch, and business entity of the Association.

  (5)To attend to other affairs of the Association.

Chapter 5 The Principle of the Use and Management of the Assets

  Article 28 The financial resources of the Association shall comprise:

  (1)Membership dues

  (2)Donations

  (3)Finance aid from the government

  (4)Charges established by the Association for specific services within the business scope

  (5)Bank interests

  (6)Profits delivered by the Association-owned business entity

  (7)Other legal income

  Article 29 The membership dues shall be collected according to the state's rules and regulations .

  Article 30 The funds of the Organization shall be expended in the business scope provided in this constitution and for any purpose necessary for the furtherance of its objects but they shall on no account be distributed among members.

  Article 31 The Association establishes rigid financial management regulations to ensure the accounts legality, authenticity , accuracy and completeness.

  Article 32 The Association engages professionally qualified accountants in accordance with the rules and regulations.

  Article 33 The assets of the association are managed in accordance with financial management regulations of the state and accepts the supervision of the General Meeting of the members and the finance department of the competent department. Any funding from the government appropriation or social donation shall be under the supervision of the auditing body and the information of it shall be made public in appropriate way.

  Article 34 Before the expiration of tenure of office of the Council or the change of the official representative, the financial audit shall be gone through arranged by DLSSGP and DCAGP.

  Article 35 Any other unit or/and individuals shall not occupy and divert the Association's assets.

  Article 36 The frame of the salary ,insurance and benefits of the Association's full-time employees complies with the state's regulation on institutions.

Chapter 6 Procedures of the Amendments of the Constitution

  Article 37 Any amendment to the Constitution shall be submitted by the Secretariat for approval and dis-cussed by the Council members.

  Article 38 Any amendment of the constitution shall take effect after the review and approval by the DLSSGP and following submission to and approval by DCAGP within the fifteen (15) days of its pass by the Council members.

Chapter 7 Procedures of Termination and Assets Disposition

  Article 39 The motion of termination shall be submitted by the Secretariat when the objectives of the Association are achieved ,or because of the dissolution ,separation and merger of the Association.

  Article 40 The motion of the termination shall be voted through by the General Meeting of the members(the Council) and reported to the DLSSGP for approval.

  Article 41 Before the termination, the association shall form a liquidation group under the direction of the DLSSGP and the authorities concerned to deal with the claims and liabilities. During the liquidation, no activity but the liquation shall be involved.

  Article 42 The Association is officially terminated when it is through the formalities of nullification at the Registrar of Societies.

  Article 43 The remaining assets of the Association after the liquidation shall, under the supervision of the DLSSGP and DCAGP, be used for the business relevant to the Association's objectives in accordance to the state's rules and regulations

Chapter 8 Supplementary Provisions

  Article 44 The Constitution was voted through by the First General Meeting of the members on July 20th,2003 .

  Article 45 It is the Council of the Association to interpret the Constitution.

  Article 46The Constitution comes into effect upon the approval by the Registrar of Societies.powers.
