Rules and Constitution of Guangdong Labour Institute

Chapter 1 General Provisions

  Article 1 Name The name of this organization shall be the Guangdong Labour Institute, hereinafter referred to as “the Institute”.
  Article 2 The Institute is a non-profit academic organization engaged in labour security study ,consulting, publicizing and information exchange and voluntarily formed by labour security researchers ,scholars ,HR execu-tives of enterprises and labour security executive departments. The Institute is a corproare member of China Asso-ciation for Labour Studies(CALS) and Guangdong Association for Social Sciences(GASS) respectively. The Institute has independent status of a legal entity.
  Article 3 The tenet of the Institute
  Abide by Constitution , laws and regulations and policies of PRC , observe social morality and follow the guidance of Marxism-Leninism , Mao Zedong Thought , Deng Xiaoping Theory and the important principle of the “ Three Represents ” put forward by former President Jiang Zemin ; aim to perfect the Labour Security sys-tem in tune with the socialism market economy system , improve Labour Security management standard ; organize the labour security researchers and practioners to explore socialism labour security theory and popularize labour security knowledge ; devote to promoting the establishment of modern management system for enterprises and the labour security system in tune with the socialism market economy system , and the development of socialism mar-ket economy.
  Article 4 The Institute adhere to the following principles:  (1)To adhere to the Communist Party's lines and policies;
 (2)To combine theory with practice;
 (3)To let the different schools of thoughts contend ;
 (4)To integrate popularizing with improvement, experts with masses, professionals with amateurs and theo-retical workers with practitioners ;
 (5)To unite information exchange with research, counsulting, training and publicity
  Article 5 The Institute is under the?direction , supervision and?management?of Department of Labor and Social Security of Guangdong Province (hereinafter “DLSSGP”) and Department of Civil Affairs of
  Guangdong Province hereinafter “ DCAGP ”) .
  Article 6 The location of the Institute is Guangzhou

Chapter 2

 Article7 Business Scope of the Institute :
  (1)To study and publicize Marxism-Leninism , Mao Zedong Thought , Deng Xiaoping Theory and the im-portant principle of the “ Three Represents ” put forward by former President Jiang Zemin ; study and publicize the state ' s labour and social security lines , policies and regulations.
  (2)To organize labour security scientific study, arrange academic activities such as symposium , lecture, etc. , organize the appraisal , election and reward of research achievements of labour security study and their popularizing ;
  (3)To launch training programs related to labour security;
  (4)To organize survey and investigation of labour and social security issues and provide consulting service;
  (5)To edit&publish the Institute journal, book, information exchange materials;
  (6)To conduct international labour security academic exchange and cooperation ,the labour security aca-demic exchange and cooperation between Guangdong and Hong Kong , Macao and Taiwan ;
  (7)To direct and coordinate the labor security discussion among municipal associations for labour studies around Guangdong and provincial-level trade associations for labour studies ;
  (8)To strengthen the construction of the Institute and absorb new individual and corporate members;
(9)To direct enterprises to develop the popularization of labour security and through activities to reinforce the ties between enterprises and government.

CHAPTER 3 Membership

  Article 8 Members of the Institute are in two categories: corporate member and individual member.
  Article 9 For Any applicant desirous of being admitted as a corporate member of the Institute , the whole of the following prerequisites shall be satisfied :
  (1)To endorse the Institute's Rules and Constitution;
  (2)To be willing to join the Institute;
  (3)Any applicant desirous of being admitted as an individual member shall be the researcher or teaching staff on labour security , or the labour security management executive who possesses certain academic study ca-pacity. Corporate member shall be labour security management department of the enterprise or institute, or insti-tution for research and studies ;
  (4)Each labour and social security executive department and its direct affiliated service organizations in Guangdong province will automatically be the official Corporate Member of the Institute.
   Article 10 Procedures of Application for Membership are as follows:
  (1)Applicant shall submit application in writing for membership;
  (2)Applicant shall fill in the registration form;
  (3)The Standing Council verifies and approves the application;
  (4)The Secretariat of the Institute issues membership credential .
  Article 11 Members of the Institute shall enjoy the undermentioned privileges:
  (1)Right to elect, to be elected and to vote ;
  (2)To receive preferential rights to join the activities of the Institute ;
  (3)To criticize and to supervise the working of the Institute;
  (4)To receive preferential rights and special offer to the Institute ' s service ;
  (5)Right to join and to withdraw from the Institute of one ' s own accord ;
  (6)Corporate member may organize activities within the business scope provided in the Constitution.
  Article 12 Members shall have the following duties:
  (1)To implement the Institute's resolutions;
  (2)To defend the Association's lawful rights and interests
  (3)To accept and complete the Institute ' s assignments ;
  (4)To concern about the working of the Institute ,report true conditions or circumstances to the Institute and provide materials concerned ;
  (5) To pay dues in due time.
  Article 13 Any member who wishes to resign from membership shall do so by informing the institute in writing and return the membership credential. Any member who violates Institute's Constitution or,without any excuse doesn't participate in the Institute's activities may be advised to withdraw or expelled from the Institute ; the membership of any individual member who is deprived of its citizenship shall be thereof cancelled.

 Chapter 4 Organization and Election

  Article 14 The Supreme authority of the Institute shall be vested in the General Meeting of the members. It shall have the following powers:
  (1)To formulate and revise or amend the rules and constitution of the Institute;
  (2)To elect and remove the Council members;
  (3)To formulate and to decide on the guiding principles of the Institute and the work to be undertaken by the Institute ;
  (4)To examine and approve the Institute ' s work report ;
  (5)To elect and remove the President , Vice Presidents and Secretary General ;
  (6)To invite honorary presidents and advisers ;
  (7)To decide the termination of the Association.
  (8)To decide other vital matters.
  Article 15 The quorum of the General Meeting (the Council )shall exceed two-thirds (2/3) of the total membership and the resolutions of the General Meeting shall be taken by the two-thirds(2/3) majority of the votes of the members present.
  Article 16 The term of the General Meeting (the Council) is four years. When the term of the Council need to be moved up or extended , it shall be first voted through by the Standing Council , and then examined by the competent department and approved by the Registrar of Societies. The term extension shall not be over one year.
  Article 17 The Standing Council is the executive body of the General Meeting (the Council) which is elected by , and directly responsible for the latter. When the General Meeting is not in session , the Standing Council shall direct the working of the Institute.
  Article 18 The quorum of a Standing Council meeting shall exceed two-thirds (2/3) of the total Standing Council members and the resolutions shall be taken by the two-thirds(2/3) majority of the votes of the Stand-ing Council members present.
  Article 19 The Standing Council shall have following powers:
  (1)To carry out the resolutions of the General Meeting ;
  (2)To arrange the procedure in convening the annual General Meeting of members ;
  (3)To present the annual reports and the yearly accounts of the Association to the General Meeting ;
  (4)To decide on the admission and the dismissal of the members ;
  (5)To decide on the establishment of working unit , branch and business entity of the Institute ;
  (6)To nominate the Assistant Secretary General and the Chiefs of each working unit , branch, and business entity of the Institute ;
  (7)To direct and supervise the working of the Institute ;
  (8)To determine other major issues of the Institute.
  Article 20 A Standing Council meeting of the Institute shall be in general held at least once half a year. In special case , a Standing Council meeting may be convened by correspondence .When the important issues need to be discussed , a Standing Council Meeting shall be convened at any time when it's deemed necessary by the President.
  Article 21 While the General Meeting and Standing Council stand adjourned , the Secretariat shall be the executive boy of the Institute and the affairs of the Institute shall be managed/executed by the Secretary General.
  Article 22 The Prerequisites of being as the President , Vice President or General Secretary shall be as follows:
  (1)To adhere to the Communist Party's lines and policies and have good political qualities
  (2)To be under seventy-year-old in general and the Secretary General as full-time.
  (3)To be good in health and be able to carry on the normal work.
  (4)To be with no penal sanction of being deprived of his or her political rights
  (5)To possess full civil capacity
  Article 23 Either the President , Vice President or Secretary General , whose age over the age-ceiling pro-visions aforesaid ,shall not take on the office until the appointment is voted through by the Standing Council and then reported to the competent department for examination and finally approved by the Registrar of Societies.
  Article 24 The either term of the President , Vice President or the Secretary General shall not be over two(2)terms. Any term extension of them , in special case , shall be voted through by the two-thirds (2/3) of the majority of the Council members and then reported to the competent Department for examination and approved by the Registrar of Societies.
  Article 25 The President of the Institute shall be the official representative of the Institute. In special case , the Vice President or Secretary General may act as the official representative of the Institute, and He or She shall not be the official representative of the other Associations.
  Article 26 When the office of the Vice President , Secretary General or Assistant Secretary General need to be adjusted or removed under special circumstances, the notice of it shall be sent to the one-half(1/2)of the Standing Council members by post and any office alteration abovesaid shall be voted through by the one -half(1/2)of the Standing Council members to whom the notice has been dispatched.
  Article 27 The Duties of the President of the Institute shall be as follows:
  (1)To direct the working of the Institute ;
  (2)To convene and chair the General Meeting and Standing Council meeting ;
  (3)To inspect the implementation of the resolutions made by the General Meeting (the Council) and Standing Council ;
  (4)To sign major documents concerned on behalf of the Institute.
  Article 28 The Duties and Obligations of the Secretary General of the Institute include:
  (1)To direct the working of the Secretariat and arrange the formulation and implementation of the annual work plan.
  (2)To coordinate the work of every branch, representative office and business entity
  (3)To nominate the Assistant Secretary General and the Chiefs of each working unit , branch , and busi-ness entity of the Institute for the approval by the Standing Council ;
  (4)To decide on the employment of the full-time staff of the working unit , branch , and business entity of the Institute.  (5)To attend to other affairs of the Institute.

Chapter 5 The Principle of the Use and Management of the Assets

 Article 29 The financial resources of the Institute shall comprise:
  (1)Membership dues ;
  (2)Donations ;
  (3)Finance aid from the government ;
  (4)Charges established by the Institute for specific services within the business scope ;
  (5)Bank interests ;
  (6)Profits delivered by the Institute -owned business entity ;
  (7)Other legal income 。
  Article 30 The membership dues shall be collected according to the state's rules and regulations.
  Article 31 The funds of the Institute shall be expended in the business scope provided in this constitution and for any purpose necessary for the furtherance of its objects but they shall on no account be distributed among members.
  Article 32 The Institute establishes rigid financial management regulations to ensure the accounts legality , authenticity, accuracy and completeness.
  Article 33 The Institute engages professionally qualified accountants in accordance with the rules and regula-tions.
  Article 34 The assets of the Institute are managed in accordance with financial management regulations of the state and accepts the supervision of the General Meeting and the finance department of the competent depart-ment. Any funding from the government appropriation or social donation shall be under the supervision of the au-diting body and the information of it shall be made public in appropriate way.
  Article 35 Before the expiration of tenure of office of the Council or the change of the official representative , the financial audit shall be gone through by the competent department and Registrar of Societies.
  Article 36 Any other unit or/and individuals shall not occupy and divert the Institute's assets.
  Article 37 The frame of the salary , insurance and benefits of the Institute ' s full-time employees complies with the state ' s regulation on institutions.

Chapter 6 Procedures of the Amendments of the Constitution
Article 38 Any amendment to the Constitution shall be voted through by the Standing Council and then sub-mitted for discussion and approval by the General Meeting (the Council ).
  Article 39 Any amendment of the constitution shall take effect after the review and approval by the compe-tent department and following submission to and approval by the Registrar of Socities within the fifteen (15) days of its pass by the General Meeting(the Council).

Chapter 7 Procedures of Termination and Assets Disposition

  Article 40 The motion of termination shall be submitted by the Standing Council when the objectives of the Association are achieved ,or because of the dissolution ,separation and merger of the Institute.
  Article 41 The motion of the termination shall be voted through by the General Meeting (the Council) and reported to the competent department for approval.
  Article 42 Before the termination, the Institute shall form a liquidation group under the direction of the competent department and the authorities concerned to deal with the claims and liabilities. During the liquida-tion , no activity but the liquation shall be involved.
  Article 43 The Institute is officially terminated when it is through the formalities of nullification at the Reg-istrar of Societies.
  Article 44 The remaining assets of the Institute after the liquidation shall , under the supervision of the competent department and the Registrar of Societies be used for the business relevant to the Institute ' s objectives in accordance to the state ' s rules and regulations

Chapter 8 Supplementary Provisions

  Article 45 The Constitution was voted through by the First General Meeting of the members on November 5th , 2002.
   Article 46 It is the Council of the Institute to interpret the Constitution.
   Article 47 The Constitution comes into effect upon the approval by the Registrar of Societies.
